About The Role
Transformational leadership opportunity Role: Deputy Head Company Secretary- VISL Grade: M4/M5 Location: Panaji, Goa Vedanta Iron and Steel Limited (VISL) is evolving into a future-ready green steel and specialty steel company, anchored in raw material security, integrated operations, and expansion potential to support India’s industrial growth. It is a leading, fully integrated iron and steel enterprise, anchored in a robust value chain encompassing resource security and value-added production. The company’s operations span iron ore exploration, mining, and processing across India and West Africa, complemented by a diversified product portfolio that includes high-quality steel, wire rods, TMT bars, pig iron, ductile iron (DI) pipes, ferro-silicon, cement, and metallurgical coke. From steelmaking capacity of 40 lakh tonnes per annum (Goa and Bokaro), we will scale to 100 lakh tonnes per annum as we can leverage the availability of gas at our doorstep. We have the backing of high-quality and best captive iron ore mines in Goa, Odisha and Karnataka that will help us scale to 100 lakh tonnes per annum and then 150 lakh tonnes per annum. We are seeking a dynamic and insightful individual to join us as a Deputy Head Company Secretary- VISL, to drive its momentum forward and deliver on our business goals. Key Responsibilities • SEBI LODR & Stock Exchange Compliance – Ensure timely and accurate compliance with SEBI LODR Regulations, stock exchange requirements, corporate disclosures, filings, and regulatory correspondence. • Secretarial, Corporate Law & Multi-Entity Governance – Lead Board and Committee governance, statutory compliances, Companies Act matters, secretarial audits, and governance oversight across the Company and its subsidiaries. • PIT Regulations & Insider Trading Compliance – Manage the Insider Trading framework, trading window controls, UPSI governance, designated person compliance, disclosures, and awareness programs. • Investor & Regulatory Stakeholder Management – Oversee investor services, shareholder grievances, depository coordination, RTA management, and engagement with regulators and stock exchanges. • Strategic Advisory, Board Engagement & Transaction Support – Advise the Board and senior management on governance matters, corporate actions, mergers, acquisitions, restructuring, related-party transactions, and other strategic initiatives. • Governance, Compliance Culture & Capability Building – Drive governance excellence through policy management, compliance monitoring frameworks, digitalization initiatives, risk dashboards, and organization-wide compliance awareness. • Team Leadership & People Development – Build and mentor a high-performing secretarial and compliance team, ensuring succession planning, capability enhancement, and cross-functional collaboration. • Pre-Listing, Listing & Demerger Execution – Support and lead critical corporate transactions including listing readiness, stock exchange onboarding, demergers, restructuring projects, and post-listing compliance stabilization. Candidate Profile •Qualified Company Secretary (ICSI) having membership number. •7+ years of experience in listed entities, possessing strong expertise in corporate governance, SEBI regulations, board management, regulatory affairs, and strategic corporate transactions.
