About The Role

Join our rapidly growing Series C company as a Corporate Paralegal. In this key role, you will be responsible for corporate governance, equity administration, and legal operations. You will partner closely with Finance, HR, Tax, and executive leadership to prepare the company for future financing activities and a potential path to the public markets. Your responsibilities will include administering the company's cap table, preparing corporate governance documents, managing entity formations and compliance requirements, supporting venture financing transactions, and identifying opportunities to improve legal processes. The ideal candidate will have 4+ years of experience as a Corporate Paralegal or in a similar in-house corporate legal role, exceptional attention to detail, and a high level of discretion.

  • Administer and maintain the company's cap table in Carta, including equity issuances, exercises, transfers, cancellations, option grants, restricted stock awards, and secondary transactions.
  • Prepare board and stockholder consents, board minutes, officer certificates, and other corporate governance documents, and manage entity formations, annual filings, registered agent relationships, business licenses, and other corporate compliance requirements across multiple jurisdictions.
  • Support venture financing transactions by preparing closing documents, coordinating due diligence requests, managing investor materials, and assisting with KYC documentation.
  • Hands-on experience administering cap tables and equity compensation programs using Carta
  • Self-motivated, proactive, and comfortable managing multiple priorities in a fast-paced, high-growth environment
  • Exceptional attention to detail with outstanding organizational and project management skills
  • Experience supporting corporate governance, board processes, and legal entity management
  • Paralegal certificate or Bachelor's degree
  • 4+ years of experience as a Corporate Paralegal or in a similar in-house corporate legal role
  • High ethical standards and the ability to handle highly confidential information with discretion
  • Prior in-house experience at a venture-backed or high-growth technology company
  • Familiarity with contract lifecycle management (CLM) systems
  • Experience supporting Series A through Series D financing transactions
  • Experience supporting companies preparing for IPO readiness or public company governance
  • Active Notary Public commission is a plus
