About The Role

Join CoreWeave, a fast-paced, high-growth tech company, as a Senior Counsel specializing in Capital Markets. In this role, you will support a wide range of corporate transactional matters, including capital markets transactions, M&A, and strategic investments. You will work closely with key stakeholders across the company and have the opportunity to make a significant impact on the business.

  • Support a range of complex corporate transactional matters, including capital markets transactions, M&A, and strategic investments.
  • Draft, negotiate, and review a broad range of transaction documentation, provide advice on deal structuring and strategy, and conduct and support due diligence and ongoing compliance.
  • Partner with Corporate Development and other cross-functional teams to execute transactions, and support legal and other departments in the management of post-closing obligations.
  • 5+ years of relevant transactional experience, with a focus on corporate capital markets transactions, M&A, and securities
  • J.D. from an ABA accredited law school and active admission in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred)
  • Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and then empower others to deliver
  • Ability to manage outside counsel efficiently and balance legal risk mitigation against key business objectives and risks
  • In-house experience at a high-growth tech company or publicly traded company, with relevant prior experience at a top law firm
  • Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously
  • A commitment to professional conduct, excellence, and attention to detail under time pressure
  • Excellent drafting, project management, and legal interpretation skills
  • Strong interpersonal skills, including the ability to communicate and collaborate effectively with a wide variety of stakeholders and business partners, and build interdepartmental relationships at all levels, including senior-level executives
  • Ability to balance legal risk mitigation against key business objectives and risks
  • You enjoy solving complex legal and business challenges in fast-paced environments
