About The Role
Join our team as a Senior Paralegal, where you will play a crucial role in corporate governance, legal records management, and supporting various legal initiatives. You will work closely with cross-functional teams and external counsel, ensuring compliance and alignment with business objectives. The ideal candidate has extensive experience in corporate governance, financing transactions, and legal support roles.
- Preparation and administration of board and stockholder meetings, including written consents, resolutions, corporate minute books, governance records, and related board materials.
- Leading corporate governance across U.S. and international subsidiaries, partnering with internal stakeholders and external counsel to maintain compliance and support global operations.
- Managing legal records, ensuring corporate records, governance documentation, and legal data are organized, accurate, secure, and audit-ready.
- We are seeking a detail-oriented and proactive Senior Paralegal to serve as a key operational partner to senior members of our legal team
- The ideal candidate is experienced with scaling governance and compliance functions at high-growth private companies and has expertise in board governance, global subsidiary management, securities compliance and building scalable legal infrastructure
- While the role’s primary focus is corporate, the ideal candidate is a versatile self-starter who is comfortable pitching in across the broader legal team—including regulatory, litigation, and employment matters—as priorities require
- Associate’s or Bachelor’s degree in Paralegal Studies, a related field, or equivalent work experience
- Strong understanding of corporate governance, financing transactions, securities compliance, and corporate transaction lifecycles
- Exceptional organizational skills with a high level of attention to detail
- Proven ability to thrive in a fast-paced, high-growth environment while managing multiple priorities with accuracy and sound professional judgment
- 7+ years of experience as a paralegal or in a legal support role, with substantial corporate governance and transactional experience
- Proficiency in Microsoft Office and legal technology platforms, including CLMs and CRMs
- Strong written and verbal communication skills
- Demonstrated ability to operate with minimal direction, exercise sound judgment, and independently prioritize competing demands
- Demonstrated innovation and proactive problem-solving skills, including identifying process improvements and implementing more efficient approaches to support legal operations
- Lifting and carrying items up to 20 pounds occasionally (e.g., office supplies, packages)
- Occasional standing and walking within the office
- Prolonged periods of sitting at a desk and working on a computer
- Visual acuity to read screens, documents, and reports
- Manual dexterity to operate a computer keyboard, mouse, and other office equipment
- Occasional reaching, bending, or stooping to access file drawers, cabinets, or office supplies
- Experience supporting a company through IPO preparation and/or public company operations, including securities compliance
- Experience building or improving legal processes within a high-growth startup environment
