About The Role

Join Crusoe, a well-funded technology infrastructure company, as a Legal Counsel specializing in Finance and Corporate Development. In this high-impact role, you will execute corporate financing and capital markets transactions, advise finance stakeholders, draft and negotiate agreements, support due diligence and deal management, and assist with ongoing covenant compliance. You will work closely with multiple business teams and present complex legal concepts clearly. The ideal candidate has 7-10 years of transactional legal experience, strong business acumen, and proficiency with Google Workspace and Microsoft Office.

  • Execute corporate financing and capital markets transactions, including revolving credit facilities, asset-backed term loans, and structured finance, from term sheet through closing.
  • Draft, review, structure, and negotiate term sheets and definitive agreements, including credit agreements, parent guarantees, security packages, and ancillary documents.
  • Support the Finance team on due diligence and manage document flow and closing logistics across outside counsel and internal teams.

  • Technical Expertise and Deal Management: Expertise in drafting, structuring, and negotiating loan or other financing documentation with exceptional attention to detail
  • Experience: 7-10 years of transactional legal experience, with significant and progressive experience in complex corporate and finance transactions at a top-tier law firm or in-house legal department
  • Business Acumen: Demonstrated strong business judgment, with a proven ability to balance legal risks against commercial objectives
  • Tech Stack: Proficiency with Google Workspace, Microsoft Office, and AI tools
  • Governance Knowledge: Strong working knowledge of corporate governance and compliance best practices
  • Education & Bar: Juris Doctor (J.D.) from an accredited law school and active bar admission in any state
  • Safety and Compliance: This position is designated a safety-sensitive position and/or is located in a safety-sensitive facility. Drug and alcohol program participation is required
  • Prior experience at a startup, AI company, digital infrastructure, or high-growth venture business
  • Understanding of real estate transactions, construction / construction finance, and project development
  • Experience working with investment banks, capital markets desks, institutional lenders, or investors
