Legal Counsel (Corporate)

Join Crusoe, a technology infrastructure company focused on advancing AI strategies. As a Legal Counsel in Finance and Corporate Development, you will execute corporate financing and capital markets transactions, draft and negotiate agreements, support due diligence and deal management, and assist with ongoing covenant compliance. You will work closely with multiple business teams and present complex legal concepts clearly. This role requires 7-10 years of transactional legal experience and a strong understanding of corporate governance and compliance best practices.

• Corporate & Strategic Transactions: Execute corporate financing and capital markets transactions, including revolving credit facilities, asset-backed term loans, and structured finance, from term sheet through closing.
• Agreement Drafting & Negotiation: Draft, review, structure, and negotiate term sheets and definitive agreements, including credit agreements, parent guarantees, security packages, and ancillary documents.
• Due Diligence & Deal Management: Support the Finance team on due diligence and manage document flow and closing logistics across outside counsel and internal teams.
• Education & Bar: Juris Doctor (J.D.) from an accredited law school and active bar admission in any state
• Technical Expertise and Deal Management: Expertise in drafting, structuring, and negotiating loan or other financing documentation with exceptional attention to detail
• Discretion: Handles highly sensitive and confidential information with the utmost professionalism
• Business Acumen: Demonstrated strong business judgment, with a proven ability to balance legal risks against commercial objectives
• Safety and Compliance: This position is designated a safety-sensitive position and/or is located in a safety-sensitive facility. Drug and alcohol program participation is required

• Experience: 7-10 years of transactional legal experience, with significant and progressive experience in complex corporate and finance transactions at a top-tier law firm or in-house legal department
• Tech Stack: Proficiency with Google Workspace, Microsoft Office, and AI tools
• Governance Knowledge: Strong working knowledge of corporate governance and compliance best practices
• Execution Under Pressure: Experience managing multiple high-stakes workstreams simultaneously in a fast-paced, dynamic environment
• Prior experience at a startup, AI company, digital infrastructure, or high-growth venture business
• Understanding of real estate transactions, construction / construction finance, and project development
• Experience working with investment banks, capital markets desks, institutional lenders, or investors
