About The Role
Join Greenhouse, a leading hiring innovation company, as a Senior Corporate Counsel. In this newly created role, you will take ownership of critical corporate work-streams, including corporate governance, securities, equity compensation matters, AI regulatory work, and corporate development projects. You will work closely with cross-functional teams and have a direct impact on how Greenhouse operates and grows.
- Advising on corporate governance and securities matters, including supporting Board and committee meeting preparation, corporate resolutions, and compliance with applicable corporate policies and bylaws.
- Counseling the Total Rewards and Finance teams on employee equity matters, including administration of equity compensation programs.
- Monitoring and advising on AI legal and regulatory developments, including the EU AI Act and emerging U.S. state frameworks as they apply to Greenhouse's internal operations.

- An AI-minded lawyer – You’re eager to address the challenge of translating emerging AI regulations into practical guidance and operational processes across our products and ways of working
- 6+ years of relevant legal experience, ideally combining top-tier law firm practice and in-house experience at a high-growth tech, SaaS, or fast-moving company
- Familiarity with AI governance frameworks and the evolving AI regulatory landscape
- Experience with AI tools like Glean, Claude, Gemini and AI GC
- Strong corporate generalist foundation, with deep knowledge of corporate governance, securities law, and M&A transactions

- Excellent written and verbal communication skills; highly organized and comfortable managing multiple work-streams simultaneously
- Experience advising on equity compensation programs and working with HR or Total Rewards teams
- Confidence to operate independently and take ownership of complex matters
- Sound judgment in ambiguous situations, intellectual curiosity, and the ability to get up to speed quickly on new areas of law
- JD from an accredited U.S. law school and active bar membership
- Demonstrated ability to deliver strategic, practical, and solution-focused legal guidance to stakeholders across the company
