Corporate & Securities Counsel

In this role, you will be a key member of the corporate legal function, working on SEC reporting, corporate governance, and regulatory compliance. • Assumer la responsabilité de la préparation et de la révision des documents de divulgation publique, y compris les rapports 10-K, 10-Q, 8-K, et les déclarations de procuration.

• Servir de conseiller de confiance auprès de la direction sur les questions de gouvernance d'entreprise, de réglementation et de stratégie.
• 2 to 3+ years of relevant experience at a top-tier law firm, ideally with a background in securities laws, public company disclosure, corporate governance and / or M&A
• Practical mindset towards protecting the company from risks while enabling fast paced growth and innovation
• Prior experience drafting and reviewing Exchange Act filings (10-Q, 10-K, 8-K, 20-F, 6-K etc.) and advising on executive compensation and benefits
• Fintech and/or SaaS experience is helpful but not required
• Experience working with the Israel Companies Law is helpful but not required
• JD Required. Member of the New York or other U.S. state Bar
• Ability to work independently while having good judgment to escalate significant matters
• Ability to prioritize tasks and manage time effectively
• Strong interpersonal skills, flexibility and responsiveness
• Collaborative and can communicate clearly with both legal and non-legal stakeholders
• Strong technical drafting skills and attention to detail
