About The Role

Join Progyny, a leading fertility benefits management company, as a Corporate & Securities Paralegal. In this role, you will support the company's corporate governance, securities compliance, and public company reporting obligations. You will work closely with various teams to ensure compliance with SEC regulations and corporate governance requirements. Key responsibilities include coordinating SEC filings, maintaining corporate records, supporting Board and Committee activities, managing insider trading compliance, and assisting with corporate transactions and other legal matters.

  • Support the preparation, review, and filing of SEC reports and disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other required securities filings.
  • Assist in the administration of insider trading compliance programs, including pre-clearance processes, blackout periods, and tracking of Section 16 reporting obligations.
  • Maintain corporate records, minute books, governance documents, and subsidiary records, and support Board of Directors and Committee meetings.
  • Healthcare industry experience is a plus
  • Familiarity with stock administration platforms, SEC filing systems, and corporate governance tools is preferred
  • Experience with independently drafting and submitting SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reporting
  • Strong understanding of public company reporting requirements, corporate governance practices, and securities law compliance
  • Experience maintaining corporate records, minute books, and governance documentation
  • Experience supporting Board and Committee meetings and preparing governance materials
  • Bachelor's degree required; Paralegal Certificate required
  • Minimum of 3–5 years of experience supporting corporate securities, public company compliance, corporate governance, or related legal functions
  • Exceptional organizational and project management skills with strong attention to detail
  • Proven ability to collaborate effectively with cross-functional teams and external partners
  • Strong written and verbal communication skills
  • Sound judgment, professionalism, and discretion in handling confidential information
  • Ability to manage multiple priorities and deadlines in a fast-paced environment
  • Highly motivated with a proactive approach to problem-solving and continuous improvement
