Commercial Contracts Counsel (Contractor)

About The Role
Join Ataccama, a fast-growing global enterprise software company, as a Commercial Contracts Counsel (Contractor). In this role, you will be the primary owner of Ataccama's commercial contract pipeline, working closely with the Legal, Sales, and Customer Success teams. Your core focus will be on commercial agreements, managing the contract lifecycle, and advising on contract-related questions. This is a contractor position with an average workload of approximately 42 hours per month, subject to fluctuation based on business needs.
- Review, draft, and negotiate commercial agreements including MSAs, Order Forms, SOWs, Evaluation Agreements, NDAs, and DPAs.
- Manage redlines on customer paper and Ataccama standard templates, protecting key commercial terms while keeping deals moving.
- Own the contract lifecycle in Linksquares, including template-based drafting and Docusign signature management, keeping records accurate and up to date.
- JD or equivalent legal qualification, with at least 3–5 years of commercial contracts experience in-house or at a law firm
- Strong written and verbal communication skills; able to explain legal concepts clearly to non-legal stakeholders in Sales and Customer Success
- Ability to work independently and manage a concurrent pipeline of matters with minimal supervision
- Familiarity with data privacy concepts and comfort reviewing and negotiating data processing addenda
- Flexibility to increase availability in the final weeks of each quarter when deal volume surges
- Strong commercial instincts—you know where to hold firm on a redline and where to be pragmatic to get a deal across the line
- Experience with a CLM platform and comfort managing signature workflows
- Solid, hands-on experience with enterprise SaaS or software licensing agreements—you know your way around an MSA, DPA, and Order Form without needing much hand-holding
- Prior experience in enterprise data, analytics, or AI software—familiarity with data quality, governance, or agentic use cases is a bonus
- Exposure to partner, reseller, or OEM contracting structures
- Experience negotiating agreements with large enterprise customers in regulated industries such as financial services, healthcare, or utilities
