About The Role
Role : Assistant Company Secretary Location : Bengaluru, Karnataka Reporting To : Company Secretary Team Name : Corporate Legal, Intellectual Property & Secretarial (CLIPS) About the Team and the Role The Corporate Legal, Intellectual Property & Secretarial (CLIPS) team at Ather is responsible for managing corporate governance, statutory compliances, safeguarding intellectual property, and driving critical corporate legal processes to support the organization's growth. This role is for an assistant Company Secretary who will manage end-to-end secretarial activities, ensure strict regulatory compliance, plan and execute board and shareholder governance, and act as a key stakeholder in strategic fundraising and legal documentation. Responsibilities ● Manage end-to-end company secretarial activities, ensuring absolute regulatory compliance, and plan, convene, and conduct board, committee, and shareholder meetings. ● Maintain and upkeep all statutory registers, records, repository of secretarial records, original licenses, shareholder agreements, and the Common Seal of the company. ● Act as a secretarial stakeholder in fundraising activities, collaborating closely with Finance, Corporate Legal, Investment Banking, and external counsels to finalize funding documentation. ● Draft precise board minutes, meeting notices, and annual reports, ensuring timely filing of statutory returns and executing required amendments to AOA/MOAs. ● Develop, implement, and monitor corporate governance processes, SOPs, and compliance management frameworks across the organization, reporting status and compliance MIS directly to the Board. ● Provide certified copies of corporate documents to verified stakeholders, maintaining strict compliance with credentials verification protocols. ● Liaise and coordinate cross-functionally with Board members, shareholders, statutory auditors, practicing company secretaries, and internal finance/legal teams to close audits and collate agendas. ● Manage the secretarial department budget, onboard compliance/contract management tools, and drive team mentorship, goal setting, and competency development. ● Manage and ensure compliance, in a timely and orderly manner, with all regulatory matters under the corporate laws including RBI, SEBI, MCA, stock exchanges. ● Develop Guidelines, playbook, and document templates as may be required from good governance and compliance perspective in connection with activities of the Company. ● Monitor and track statutory compliances across the Company and assist reporting to the Board and Management accordingly. ● Assist in preparation and compilation of annual report including BRSR report. ● Independent management of secretarial activities of subsidiaries. ● Support in audit related activities. Experience and Qualifications ● Qualified Company Secretary (CS) and active member of the Institute of Company Secretaries of India (ICSI). Prior experience in a listed company is mandatory. ● 4 to 6 years of post-qualification experience in managing secretarial compliance and corporate governance, ideally within a fast-growing corporate, technology, or manufacturing setup. Must Have Competencies ● Deep understanding of the Companies Act, Secretarial Standards, SEBI Regulations and corporate laws, board governance, share capital, and debentures. ● Strong proficiency in drafting precise board minutes, notices, resolutions, and managing the end-to-end compilation of annual reports. ● Comprehensive expertise in establishing corporate governance frameworks and maintaining statutory registers and repositories. ● Working knowledge of FEMA and FCRA regulations along with compliance requirements for venture capital, debt, and equity fundraising transactions. Good to Have Competencies ● Experience in implementing and managing automated Board meeting software and insider trading tools. ● Ability to collaborate with external counsels, practicing company secretaries, and statutory auditors to facilitate secretarial audits and regulatory filings. ● Proficiency in utilizing SAP and modern GSuite/MS Office tools. ● Knowledge of drafting amendments to Articles of Association (AOA) and Memorandum of Association (MOA) for structural corporate changes.
