Learn more about us: About the Role: We are looking for a transactions-focused legal Associate to join our in-house legal team, supporting M&A, financing, and commercial contracting activity. This role will independently structure, negotiate, and close transaction documentation, and will also serve as the primary point of contact for data protection/privacy matters and day-to-day contract management. The ideal candidate brings hands-on transactional experience from a corporate law firm or a comparable in-house legal function. Key Responsibilities: Draft, review, and negotiate transaction documents including Share Purchase Agreements (SPAs), Share Subscription Agreements (SSAs), Shareholders' Agreements (SHAs), and ancillary transaction documents. Support structuring, documentation, and execution of debt and equity instrument issuances, including term sheets, security documents, and related regulatory filings. Lead due diligence exercises for transactions, including coordinating data rooms, reviewing target company documentation, and preparing due diligence reports/summaries. Own the company's data protection and privacy compliance program, including advising on applicable data protection laws (e.g., the Digital Personal Data Protection Act, 2023), drafting/reviewing privacy policies, DPAs, and data sharing agreements. Manage end-to-end contract lifecycle — drafting, redlining, negotiating, and finalizing commercial contracts (vendor, customer, NDAs, MSAs, licensing, and partnership agreements). Build and maintain a contract management framework/repository, including templates, playbooks, approval workflows, and renewal/expiry tracking. Coordinate with external counsel, investment bankers, and other advisors on transaction execution and closing mechanics, including conditions precedent/subsequent and post-closing compliance. Advise internal stakeholders (Finance, Business Development, IT) on contractual and data protection risk in new business initiatives and vendor onboarding. Track regulatory developments in data protection, corporate, and securities law relevant to the company's transactions and contracting practices. Qualifications: LL.B. (3-year or 5-year) from a recognized university; enrolled with the Bar Council of India. 2 to 4 years of post-qualification experience in corporate/transactional practice at a corporate law firm, or equivalent in-house experience. Demonstrated experience drafting and negotiating SHAs, SSAs, SPAs, and documentation for debt and equity instruments. Working knowledge of data protection and privacy law, with practical experience drafting privacy policies, DPAs, or advising on data compliance frameworks. Strong experience in contract management — drafting, negotiating, and maintaining a range of commercial agreements. Sound understanding of corporate law (Companies Act, 2013), FEMA/exchange control basics, and general transaction mechanics. Excellent drafting and negotiation skills, with the ability to work directly with business teams and external counsel. Ability to manage multiple transactions/contracts concurrently and work independently under deadlines. Prior experience in a corporate/M&A team at a law firm, or an in-house legal/transactions team handling a similar deal mix. Exposure to venture capital/private equity investment documentation is a plus. Certification or working familiarity with global privacy frameworks (e.g., GDPR) in addition to Indian data protection law.
