About The Role

Key Responsibilities

Post-Merger Integration & Financial Control

  • Accrual Transition: Lead the immediate transition from legacy cash-based accounting to full accrual accounting, specifically implementing the Service Completion Method (PFRS 15) for revenue recognition.
  • Systems Overhaul: Upgrade and recast the current Management Information Systems (MIS) to align with institutional reporting standards.
  • Working Capital & Cash Management: Establish rigorous corporate controls over bank mandates, treasury, and working capital, ensuring zero leakage and optimized cash flow.
  • Earnout Management: Meticulously track and report on "Adjusted EBITDA" and forensic add-backs to ensure the SSPA (Share Sale and Purchase Agreement) earnout mechanics are executed flawlessly.

Regulatory Compliance & Tax Strategy

  • Cross-Border Tax & Transfer Pricing: Oversee withholding tax provisions (FWT/VAT) for foreign vendor payments and ensure compliance with arm’s-length Transfer Pricing (TP) agreements between New Business Unit and current organization's US/UAE entities.
  • Audit & Statutory Leadership: Serve as the primary liaison for our newly appointed "Big Four" external auditors, the SEC, and the BIR, ensuring historical and future tax clearances are bullet proof.

Commercial Finance & Business Development

  • Start-Up Mentality: Act as the commercial co-pilot to the business head. Bring a "ro l-up-your-sleeves" energy to identify revenue synergies, optimize pricing strategies, and model new market launches.
  • Margin Optimization: Develop dashboards to track unit economics, operational expenditure (OpEx) caps, and marketing ROI.
  • Growth Modeling: Support the launch of cross-selling initiatives (e.g., NCLEX prep, TrueProfile.io) by building agile, data-driven financial models to test new business lines.

Candidate Profile & Qualifications

Non-Negotiables

  • Education/Certification: Active Certified Public Accountant (CPA) in the Philippines.
  • Experience: At least 5 to 6 years of progressive finance experience. Must have a strong foundation in audit or corporate finance (Big Four experience is highly preferred).
  • Technical Chops: Deep, practical expertise in PFRS 15 (Revenue from Contracts with Customers) and cross-border tax compliance.

  • The "Clean-Up" Experience: You have previously stepped into a founder-led, SME, or loosely structured environment and successfully implemented enterprise-grade ERPs, controls, and compliance frameworks.
  • Commercial Agility: You don't just report the numbers; you use them to drive business development. You are comfortable in a fast-paced, ambiguous "startup" environment where you have to build the plane while flying it.
  • M&A Exposure: Previous experience in post-merger integration (PMI), earnout tracking, or managing the financial transition of an acquired entity.
  • Communication: Exceptional ability to translate complex local compliance issues (SEC, BIR, PEZA) to global stakeholders (Dubai headquarters).
