The Opportunity

We are seeking an experienced Legal Counsel to provide strategic and commercially focused legal advice across Lloyds Offshore Global Services operations in India. This role will support business growth, technology transformation, corporate governance, third-party engagements and legal risk management while partnering closely with senior stakeholders across the organisation.

What You'll Do

Commercial Legal

  • Draft, review and negotiate a broad range of commercial agreements, including technology, software licensing, vendor and professional services contracts.
  • Advise on contractual risk allocation, commercial negotiations, supplier governance and dispute resolution.
  • Support intellectual property, employment-related legal matters and strategic business initiatives.
  • Advise on employment, privacy, cyber security laws.
  • Advise on and support lease documentation and property-related matters.
  • Advise on labour law developments, employee benefits, workplace policies, whistleblowing and POSH-related matters.
  • Manage external counsel and litigation matters where required.

Corporate Governance & Regulatory

  • Advise on corporate governance, regulatory requirements and legal risk management.
  • Advise and support entity management activities, including maintenance of statutory records and regulatory filings
  • Partner with Risk, Compliance and Internal and Statutory Audit teams to support governance frameworks and policy adherence.
  • Support regulatory reviews, audits, investigations and remediation activities.
  • Advise on data privacy, information security and cross-border data transfer requirements.
  • Monitor legal and regulatory developments and provide practical guidance to stakeholders.
  • Deliver legal awareness and governance training across the organisation.
  • Manage the organisation-level compliance tool in coordination with relevant stakeholders and ensure timely confirmations for the Legal team.
  • Advise the CSR team on CSR initiatives, board governance, charity partner engagement, impact assessment under the Companies Act, and related activities.

What You'll Need

Essential

  • Qualified lawyer in India with 12-15+ years of post-qualification experience .
  • Significant experience in an in-house legal role , preferably within a GCC, multinational corporation, financial services organisation or technology company.
  • Strong experience advising on commercial, technology and outsourcing contracts.
  • Sound understanding of corporate governance, regulatory and risk management frameworks.
  • Excellent stakeholder management, influencing and communication skills.
  • Strong commercial judgement and ability to balance legal risk with business objectives.
  • Experience handling disputes, investigations and regulatory matters.
  • Champion in adoption of legal technology solutions, AI tools and automation within legal processes.

Preferred Qualifications

  • Experience within banking, financial services, fintech or other regulated industries.
  • Exposure to technology transformation, digital, cloud or outsourcing programmes.
  • Knowledge of data privacy, information security and third-party risk management.
  • Experience supporting cross-border legal and regulatory matters.
  • Additional qualifications or certifications in Corporate Governance, Data Privacy, Compliance or Risk Management.
